Acquisition of largest online insurance platform in Poland

DZP advised Bauer Media Group on the purchase of all the shares in Rankomat.pl SA, the owner of the largest online insurance platform in Poland, specialising in car insurance. Rankomat will be part of Interia.pl group of companies.

The acquisition of Rankomat.pl is another step on the way to implement the development strategy of Interia and the entire Bauer Media Group. Winning over a leader in such promising market is a major step in expanding Bauer’s portfolio of insurance and financial products in Poland. Interia.pl Group is a key player in the Polish internet market. The horizontal portal Interia.pl is the flagship product of the Group. The portfolio of the group also includes theme sites and Semahead agency. Interia.pl is also one of the largest players in the Polish online advertising market, including the advertising networks AdStyle, TechnoAd and AdRetail.

Our assistance in this transaction focused on client representation in the process of acquisition, including conducting due diligence, drafting SPA and ancillary agreements, and negotiating the transaction. We had to review and address in the agreements unique problems and risks associated with the activities of the platform.
