GBO Fastening Systems AB sold its Polish subsidiary to the French company Ateliers LR Etanco SAS

Domański Zakrzewski Palinka advised the Swedish company GBO Fastening Systems AB upon the sale of its Polish subsidiary to the French company Ateliers LR Etanco SAS. Both parties to the transaction are European leaders in construction fastening systems.

DZP coordinated the transaction in Poland and all shares in the increased share capital of the Polish company Gbo Fastening Systems sp. z o.o. were sold.

We prepared a share purchase agreement with complete additional documentation for the client. We also implemented the most effective way to increase the share capital of the company being sold, given the specific features of the transaction.

Ateliers LR Etanco expects that Gbo Fastening Systems’s factory in Orneta will enable it to increase its production capacity and will be a platform for developing sale in Eastern Europe.
