DZP advises on a transaction to sell 60% of shares in Piano Group sp. z o.o.

On 15 July 2019, we successfully finalised a transaction to sell 60% of shares held by the owner of Piano Group sp. z o.o. in Warsaw to AMS S.A., a company belonging to Grupa Agora S.A., and the investor’s accession to the company.

We advised the company and its owners on preparing and negotiating the transaction documentation (share purchase agreement and shareholders’ agreement laying down the rules for the cooperation between the sellers and AMS S.A. after the transaction), negotiating a managerial contract and finalising the sale.

Piano Group sp. z o.o. is a 100% shareholder in Benefit Multimedia spółka z ograniczoną odpowiedzialnością SKA and the sole shareholder in Benefit Multimedia sp. z o.o., which is the only general partner in Benefit Multimedia spółka z ograniczoną odpowiedzialnością SKA. 

Benefit Multimedia spółka z ograniczoną odpowiedzialnością SKA provides services on the DOOH (digital out of home) market involving the advertising of internal content broadcasting and sale of advertising content, screen installation, and use of video/TV infrastructure to broadcast video content. Benefit Multimedia spółka z ograniczoną odpowiedzialnością SKA cooperates with over 190 fitness clubs in Poland in which the company’s infrastructure is installed.
