We have advised ITI Neovision in a transaction to purchase 70% of shares in Kino Świat.
A minority shareholding will continue to be held by Tomasz Karczewski and Marcin Piasecki, who will remain with the Company and co-create its further development.
The purchase of a majority stake in Kina Świat is the first acquisition carried out by the owner of the nc+ platform. Thanks to the acquisition of ITI Neovision, the operator of the nc+ platform has gained access to a catalogue of film productions from the Kina Świat portfolio, i.e. 1.2 thousand cinema films and TV series.
ITI Neovision was advised in the transaction by experts from our Corporate and M&A Practice – Marek Świątkowski, Partner, Damian Szczygielski, Senior Associate Joanna Fasula, Associate and Wojciech Dziomdziora, Counsel from IP&TMT Practice.
ITI Neovision belongs to the French Canal+ Group (51%) and its minority shareholder is TVN Discovery Polska. Since 2013, it has been the operator of the nc+ satellite platform – the second largest platform in Poland with approx. 2.2 million subscribers. It is the broadcaster of the television channels: Canal+, Canal+ Sport, Canal+ Sport 2, Canal+ Family, Canal+ 1, Canal+ Film, Canal+ Seriale, Ale Kino+, Planete+, Domo+, Kuchnia+, teleTOON+ and MiniMini+.
Kino Świat is the biggest film distributor in Poland. It has licences covering cinemas, video (DVDs, Blu-ray), video on demand (VoD) and television. It cooperates with some of the most important Polish film studios, with independent American producers, such as Miramax, Lions Gate, New Line Cinema, Focus Features, Film Nation and Universal Pictures, and with some of the biggest European companies: Studiocanal, EuropaCorp, Wild Bunch, Pathé and Gaumont. Kino Świat also produces and co-produces Polish and foreign films. The company was founded in 2001 by Tomasz Karczewski. The second co-owner is Marcin Piasecki.
