DZP advises Tarczyński on acquisition of shares in German distribution company

DZP advises Tarczyński S.A. on acquisition of 50% of shares in the German distribution company BW Handels und Vertriebs.

The company has a well-established market position in the area of sales and distribution of food and non-food products in Germany.

Our advice covered the entire process of Tarczyński S.A.'s incorporation into BW Handels und Vertriebs, from support in preparation of a Letter of Intent, through coordination of a tax and legal DD and negotiation of transaction agreements, to conclusion and performance of the share purchase agreement and accompanying agreements.

The acquisition of shares in BW Handels und Vertriebs is one of the elements of Tarczyński S.A.'s strategy to develop modern distribution channels and export activity.

Due to the international nature of the project, legal advice to Tarczyński S.A. was also provided by the German law firm ASD, whose work was led by Dagobert Nitzsche and Ann-Kathrin Reissler.
