Advisory to PLL LOT on the sale of LOT AMS

DZP advised PLL LOT S.A. on the sale of LOT AMS Sp. z o.o., an aircraft servicing and repair company. Transaction value in the range of several hundred million zloty.

The transaction was extremely complex as annexes had to be drawn up to a dozen or so agreements regulating all areas of the co-operation between the two companies.

The project was carried out by the Corporate and M&A Practice and led by Dr. Marek Świątkowski. Work co-ordinator was Igor Barcew.
The project was carried out by a multi-disciplinary team of experts from the following practices: Real Estate – Konrad Bisiorek – issues relating to utility supplies and easements; Infrastructure & Energy – Anna Glapa – assessment of whether the transaction complied with state aid provisions; Pharmaceutical Law – Marta Balcerowska– assessment of whether the solutions adopted complied with competition law; IP&TMT – Dr Marlena Wach – advice on radio frequencies; Tax – Joanna Wierzejska – assessment of the tax implications of the sale.
