Pamapol and Propinquus, in which Robert Makłowicz is the main shareholder, have signed an agreement initiating their long-term cooperation in producing a wide range of food products. There are also plans to launch a production plant. DZP was the initiator of the cooperation between the two companies.
Pamapol is the market leader in the meat and vegetable processing industry. Its portfolio includes ready meals and tinned meat and vegetables sold both in the traditional channel through wholesalers and in large retail chains.
The family company Propinquus, whose shareholders are members of the Makłowicz family, manages the rights to the image of Robert Makłowicz, journalist, food critic, writer and creator of a video blog on food and history.
Under the joint venture agreement, the company, which will operate under the name Makłowicz i Synowie, will import and distribute, and perhaps also manufacture, tinned meat, ready meals, pasta, olive oil and other products.
Under the agreement, Pamapol will take up 60 per cent of the share capital and provide production capacity. In turn, the Makłowicz family company will take 40 per cent of the share capital and contribute an organised part of its enterprise – the Propinquus Marketing and Product Sales Department – and the rights to use trademarks and recipes.
Project management and negotiation for Propinquus were the responsibility of Maciej Zajda and Katarzyna Biarda supported by Jarosław Konecko, Maciej Goszczyk, Joanna Wierzejska, Joanna Kociołek and Justyna Tyc-Brzosko.
The negotiation was conducted and the transaction was managed for Pamapol by a team led by Robert Niczyporuk, Jakub Wieszczeczyński and Przemysław Lach, and composed of Jakub Rurka, Karolina Kulikowska-Gruszecka, Michał Nita, Grzegorz Sprawka and Łukasz Górzny.
Jarosław Łukawski and Jan Siesicki were responsible for securing clearance of the Competition and Consumers Protection Office for the transaction.
