A DZP team has advised Żywiec Zdrój S.A. in work on setting up a joint-stock company KAUCJA.PL – National Deposit Scheme.
The main task of the new company KAUCJA.PL – National Deposit Scheme, which was incorporated on 13 November this year, will be to manage the process of returning and recycling packaging and packaging waste covered by a deposit, and also to settle deposits collected. The company is planning to cooperate with various retail outlets, both large retail chains and smaller shops, providing them with technological and logistical support in the collection of used packaging.
The KAUCJA.PL shareholder coalition comprises 11 companies: Coca-Cola HBC Poland, Colian, Maspex Group, Nałęczów Zdrój, Nestle Poland, Oshee Poland, PepsiCo Poland, Red Bull, Van Pur, Zbyszko Company and Żywiec Zdrój. It is the first deposit scheme operator with such a wide shareholding among beverage manufacturers, which are joining forces to achieve environmental objectives.
The advice provided by experts from DZP's Corporate and M&A Practice – Marcin Kuliński and Hubert Kawałek – included comprehensive and multifaceted legal support for the client in setting up the company, involving reviewing and drafting the company's articles of association and shareholders' agreement, as well as assistance in negotiating the preparation of the company's founding documents.
The DZP team also advised the client on issues relating to concentration and antitrust procedures, for which Marta Balcerowska from the Competition Law Practice was responsible.
